Terms of Service

1. Eligibility

To use OneWander, you must:

• Be at least 18 years old
• Provide accurate account information
• Not be prohibited from using our Services under applicable law

2. Your Account

Registration: You must create an account using email, phone number, or social login (Google/Apple).

Security: You are responsible for maintaining the security of your account. Don't share access to your account. Notify us immediately of any unauthorized access.

Accuracy: Keep your account information current and accurate.

One Account: You may only maintain one personal account.

3. Acceptable Use and Prohibited Conduct

Zero Tolerance for Objectionable Content and Abusive Users: OneWander has zero tolerance for objectionable content or abusive behavior on the platform. Objectionable content includes — without limitation — content that is harassing, threatening, hateful, discriminatory, defamatory, sexually explicit, violent, illegal, fraudulent, or otherwise harmful. Abusive users are users who post such content, target or harass other users, or otherwise violate these Terms.

By using OneWander, you agree:

• You will not create, post, share, transmit, or engage in any objectionable content or abusive behavior
• Objectionable content will be removed, and abusive users will be ejected from the Services, at our sole discretion
• You will use the in-app reporting and blocking tools whenever you encounter content or behavior you believe violates these Terms

You agree not to use the Services to create, promote, join, facilitate, or coordinate any Hangout, event, content, communication, or interaction involving:

• Illegal activity, or activity that violates applicable laws, regulations, or venue rules
• Violence, threats, harassment, stalking, intimidation, bullying, or doxxing
• Hate, discrimination, or abuse targeting protected characteristics (such as race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, or age)
• Sexual exploitation, sexual services, trafficking, or non-consensual sexual content
• Minors participating in adult-oriented, unsafe, or age-restricted activities
• Weapons, dangerous items, or instructions for violence or harm
• Fraud, scams, phishing, pyramid schemes, spam, or deceptive commercial activity
• Unauthorized ticket resale, counterfeit tickets, or misleading event listings
• Events requiring permits, licences, insurance, venue permission, or other legal authorization that the user has not obtained
• Impersonation, fake profiles, misrepresentation of identity, or misleading affiliation with an organization, venue, artist, brand, or public figure
• Collection of personal information from other users without consent
• Attempts to hack, disrupt, reverse-engineer, scrape, or otherwise interfere with the Services or with other users' use of the Services
• Any activity that creates an unreasonable risk of harm to users, the public, OneWander, or third parties

Enforcement: We may remove or restrict any content, Hangout, account, or activity that we believe violates these Terms, creates risk, may expose Meridian Grove Inc. or others to liability, or is otherwise harmful to the Services or community. Enforcement decisions are made at our discretion and may be taken with or without notice.

4. Content & Conduct

Your Content: You retain ownership of content you post (profile info, hangouts, messages). By posting, you grant us a license to display and distribute your content within the Services.

Responsibility: You are solely responsible for your content and interactions with other users.

Moderation: We may review, remove, or restrict content that violates these Terms. Repeated violations may result in account suspension or termination.

Reporting: Use the in-app reporting features to flag inappropriate content or behavior.

5. Events & Hangouts — Assumption of Risk and Release

Platform Only: OneWander is solely a technology platform that helps users discover public events and arrange “hangouts” (informal meetups) with other users. We do not organize, host, sponsor, supervise, control, verify, or guarantee any Hangout, event, venue, user, host, attendee, or interaction, whether created, advertised, discovered, arranged, or facilitated through OneWander. Hangouts and events are arranged independently between users, at their own discretion, and take place entirely off-platform.

Your Decisions, Your Risk: You are solely responsible for deciding whether to attend, host, participate in, or communicate about any Hangout or event. We do not conduct background checks, verify identities, screen users, inspect venues, supervise gatherings, or guarantee the safety, legality, quality, suitability, or accuracy of any Hangout, event, venue, user, or content. You assume all risks connected with meeting other users offline, including risks arising before, during, and after any Hangout or event.

Host Responsibilities:

If you create, post, or manage a Hangout, you are solely responsible for:

• The accuracy of the information you provide
• The legality and suitability of the activity
• Your conduct before, during, and after the Hangout
• Managing attendance and invitations
• Obtaining any required permissions, permits, venue approvals, licences, insurance, or other authorizations
• Communicating cancellations or changes promptly
• The safety of attendees you invite

You must not create a Hangout unless you have the right and ability to do so safely and lawfully. Meridian Grove Inc. is not responsible for a host's failure to obtain required approvals or comply with applicable laws. Creating a Hangout through OneWander does not make you an employee, contractor, partner, representative, agent, or organizer acting on behalf of OneWander or Meridian Grove Inc.

Attending:

When you RSVP to or attend a Hangout, you do so at your own risk. You agree to:

• Honor your commitments when possible
• Follow host guidelines and venue rules
• Treat other attendees with respect
• Use your own judgment about whether the Hangout, venue, and people involved are safe for you

Cancellations: Hosts may cancel Hangouts at any time. We are not responsible for any costs, lost time, travel, tickets, or inconvenience caused by cancellations, no-shows, or changes to any Hangout.

Assumption of Risk: YOU ACKNOWLEDGE AND AGREE THAT MEETING OTHER USERS, ATTENDING EVENTS, AND PARTICIPATING IN HANGOUTS — WHETHER ARRANGED THROUGH ONEWANDER OR OTHERWISE — INVOLVE INHERENT RISKS, INCLUDING WITHOUT LIMITATION THE RISK OF BODILY INJURY, ILLNESS, DEATH, EMOTIONAL DISTRESS, HARASSMENT, DISCRIMINATION, THEFT, PROPERTY DAMAGE, MISREPRESENTATION, FRAUD, AND OTHER HARMFUL CONDUCT BY OTHER USERS OR THIRD PARTIES. YOU KNOWINGLY AND VOLUNTARILY ASSUME ALL SUCH RISKS, AND YOU ARE SOLELY RESPONSIBLE FOR YOUR OWN SAFETY AND THE SAFETY OF ANYONE YOU INVITE.

Release and Waiver: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU HEREBY RELEASE, WAIVE, AND FOREVER DISCHARGE ONEWANDER, MERIDIAN GROVE INC., AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS (THE “RELEASED PARTIES”) FROM ANY AND ALL CLAIMS, DEMANDS, ACTIONS, CAUSES OF ACTION, DAMAGES, LOSSES, INJURIES (INCLUDING BODILY INJURY, ILLNESS, AND DEATH), LIABILITIES, COSTS, AND EXPENSES, WHETHER KNOWN OR UNKNOWN, FORESEEN OR UNFORESEEN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH: (A) ANY HANGOUT, EVENT, MEETUP, OR IN-PERSON INTERACTION CREATED, ADVERTISED, DISCOVERED, ARRANGED, OR FACILITATED THROUGH ONEWANDER; (B) THE ACTS, OMISSIONS, OR CONDUCT OF ANY USER, HOST, ATTENDEE, OR THIRD PARTY; (C) ANY PROPERTY DAMAGE, PERSONAL INJURY, ILLNESS, OR DEATH SUSTAINED AT OR IN CONNECTION WITH ANY HANGOUT OR EVENT; AND (D) ANY TRAVEL TO OR FROM ANY HANGOUT OR EVENT.

This release applies to claims that are presently known or unknown, suspected or unsuspected, and you intend it to be construed as broadly as Canadian law permits.

6. Safety, Reporting, and Blocking

Reporting and Blocking: We may provide tools to report content, Hangouts, messages, profiles, or users, and to block other users. You are encouraged to use them whenever something feels unsafe or inappropriate.

24-Hour Response: We act on reports of objectionable content or abusive users within 24 hours. When we determine that reported content or conduct violates these Terms, we will remove the content and may suspend or terminate the responsible user's account.

Our Response: We may review reports and take action at our discretion, including removing content, limiting visibility, cancelling or removing Hangouts, restricting features, suspending accounts, terminating accounts, or contacting appropriate authorities where there may be a risk of harm, unlawful activity, or a serious violation of these Terms.

Blocking: When you block another user, that user is immediately prevented from contacting you through the Services and their content is removed from your feed. Blocking also notifies us so we can review the blocked user's account and take further action where warranted.

Limits of Blocking: Blocking another user may limit contact through the Services, but it cannot guarantee prevention of offline contact, indirect contact, or contact outside OneWander.

No Obligation to Monitor: We are not obligated to monitor all content or interactions and do not guarantee that we will detect or prevent all harmful, unlawful, inaccurate, or objectionable conduct.

Emergencies: OneWander is not an emergency service. If you believe you or someone else is in immediate danger, contact local emergency services or law enforcement immediately. Do not rely on OneWander to report emergencies, prevent harm, or provide real-time safety intervention.

7. Intellectual Property

Our Property: OneWander, our logo, design system, and content within the Services are the intellectual property of Meridian Grove Inc. Don't copy, modify, or distribute them without permission.

Feedback: If you provide suggestions or feedback, we may use it without obligation to you.

8. Privacy

Your privacy is important to us. See our Privacy Policy for details on how we collect, use, and protect your information.

9. Third-Party Events and Services

Third-Party Events: Some events displayed through OneWander may be provided by third-party platforms, venues, artists, promoters, organizers, ticketing providers, or other external sources (for example, Ticketmaster, Eventbrite, or SeatGeek). OneWander does not control, verify, endorse, guarantee, or assume responsibility for third-party events, listings, ticket availability, pricing, cancellations, refunds, venue policies, entry requirements, age restrictions, accessibility information, or event changes. Any purchase, attendance, refund request, dispute, or issue involving a third-party event is solely between you and the applicable third party.

Third-Party Services: OneWander integrates with third-party services (for example, Google and Apple for authentication and mapping). Your use of those services is governed by their respective terms and policies. We may also link to external websites or services; we are not responsible for their content or practices.

10. App Store and Platform Terms

If you download or access OneWander through the Apple App Store, Google Play, or another app marketplace (“App Marketplace”), your use of the Services may also be subject to that App Marketplace's rules, terms, and policies. The App Marketplace providers are not responsible for providing support, maintenance, refunds, or handling claims related to OneWander, except as required by their own terms or applicable law.

Apple: Apple is not a party to these Terms and is not responsible for OneWander or its content. To the extent required by Apple's applicable terms, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

11. Disclaimers

AS-IS / AS AVAILABLE: OneWander is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or that the Services will be uninterrupted, secure, or error-free.

No Guarantee:

We do not guarantee:

• The Services will be available, error-free, secure, or uninterrupted
• Any Hangout, event, or venue will be safe, legal, accurate, or as described
• Other users are who they claim to be, or that their content is truthful
• Any specific results, connections, friendships, or outcomes from using the Services

User Interactions: We are not responsible for the actions, content, conduct, or omissions of other users, whether online or in person. You are solely responsible for your interactions with other users. Use caution when meeting people in person and trust your instincts — if a situation feels unsafe, leave and contact local authorities.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• IN NO EVENT WILL ONEWANDER, MERIDIAN GROVE INC., OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
• IN NO EVENT WILL OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).
• WE ARE NOT LIABLE FOR ANY ACT, OMISSION, INJURY, ILLNESS, DEATH, PROPERTY DAMAGE, LOSS, OR HARM ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY HANGOUT, EVENT, MEETUP, OR IN-PERSON INTERACTION, REGARDLESS OF WHETHER IT WAS CREATED, ADVERTISED, DISCOVERED, OR FACILITATED THROUGH ONEWANDER, OR FOR THE CONDUCT OF ANY USER OR THIRD PARTY.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In those jurisdictions, our liability is limited to the smallest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless OneWander, Meridian Grove Inc., and their respective officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Services
• Your content
• Your violation of these Terms
• Your violation of any third-party rights
• Your participation in, hosting of, or attendance at any Hangout, event, or in-person interaction
• Your interactions or communications with any other user, on or off the platform

14. Termination and Enforcement

By You: You may delete your account at any time through the app settings.

By Us: We may suspend, restrict, or terminate your access to the Services at any time if we believe you have violated these Terms, created risk or possible legal exposure, misused the Services, harmed other users, interfered with platform integrity, or engaged in unsafe, unlawful, abusive, or otherwise inappropriate conduct.

Content: We may remove or preserve content where necessary to operate the Services, enforce these Terms, comply with law, protect users, investigate abuse, or protect the rights, safety, and property of Meridian Grove Inc., users, or third parties.

Effect: Upon termination, your license to use the Services ends. We may retain certain data as required by law.

15. Disputes

Governing Law: These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.

Informal Resolution: Before filing a claim, contact us at legal@onewander.app to attempt resolution.

Arbitration: To the fullest extent permitted by applicable law, disputes arising out of or relating to these Terms or the Services will be resolved through binding arbitration rather than court, except that either party may bring an individual claim in small claims court.

Class Action Waiver: To the fullest extent permitted by applicable law, disputes must be brought only on an individual basis and not as a plaintiff or class member in any proposed class, collective, or representative proceeding.

Savings Clause: Nothing in these Terms limits, excludes, or modifies any consumer protection, statutory, or other legal rights that cannot be waived under applicable law. This section applies only to the extent permitted by applicable law.

16. Changes to Terms

We may update these Terms from time to time. We'll notify you of material changes through the app or email. Continued use after changes constitutes acceptance.

17. General

• Entire Agreement: These Terms (with our Privacy Policy) are the entire agreement between you and us.
• Severability: If any provision is unenforceable, the rest remains in effect.
• Waiver: Our failure to enforce a right doesn't waive it.
• Assignment: We may assign these Terms; you may not.
